   5 This is a legal agreement between the end user ("You") \r
   6 and Hasbro Interactive, Inc., its affiliates and \r
   7 subsidiaries (collectively "Hasbro Interactive"). This \r
   8 Agreement is part of a package (the "Package") that \r
   9 also includes a CD-ROM disc (collectively, the "CD-ROM") \r
  10 and certain written materials (the "Documentation"). \r
  11 \r
  12 BY INSTALLING THE CD-ROM, YOU ACKNOWLEDGE THAT YOU HAVE \r
  13 READ ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, \r
  14 UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU \r
  15 UNDERSTAND THAT, IF YOU PURCHASED THE PACKAGE FROM AN \r
  16 AUTHORIZED RESELLER OF HASBRO INTERACTIVE, THAT RESELLER \r
  17 IS NOT HASBRO INTERACTIVE'S AGENT AND IS NOT AUTHORIZED \r
  18 TO MAKE ANY REPRESENTATIONS, CONDITIONS OR WARRANTIES, \r
  19 STATUTORY OR OTHERWISE, ON HASBRO INTERACTIVE'S BEHALF \r
  20 NOR TO VARY ANY OF THE TERMS OR CONDITIONS OF THIS \r
  21 AGREEMENT. \r
  22 \r
  23 If You do not agree to the terms of this Agreement, \r
  24 promptly return the entire Package to the place You \r
  25 obtained it for a full refund.\r
  26 \r
  27 LIMITED LICENSE: You are entitled to use this CD-ROM for \r
  28 your own use, but may not sell or transfer reproductions \r
  29 of the CD-ROM or Documentation to other parties in any \r
  30 way. You may use one copy of the CD-ROM on a single \r
  31 terminal connected to a single computer. You may not \r
  32 network the CD-ROM or otherwise use it on more than one \r
  33 computer or computer terminal at the same time. \r
  34 \r
  35 You acknowledge that Hasbro Interactive is not \r
  36 responsible for the Internet or whether it should \r
  37 continue to exist in its present form or whether or \r
  38 not a government or governmental agency, either foreign \r
  39 or domestic, will control, regulate or disband the Internet.\r
  40 \r
  41 OWNERSHIP; COPYRIGHT: Title to the CD-ROM and the \r
  42 Documentation, and patents, copyrights and all other \r
  43 property rights applicable thereto, shall at all times \r
  44 remain solely and exclusively with Hasbro Interactive \r
  45 and its licensors, and You shall not take any action \r
  46 inconsistent with such title. The CD-ROM and the \r
  47 Documentation are protected by United States, Canadian \r
  48 and other applicable laws and by international treaty \r
  49 provisions. Any rights not expressly granted herein are \r
  50 reserved to Hasbro Interactive and its licensors. \r
  51 \r
  52 OTHER RESTRICTIONS: You may not cause or permit the \r
  53 disclosure, copying, renting, licensing, sublicensing, \r
  54 leasing, disseminating or otherwise distributing of the \r
  55 CD-ROM or the Documentation by any means or in any form, \r
  56 without the prior written consent of Hasbro Interactive. \r
  57 You may not modify, enhance, supplement, create \r
  58 derivative work from, adapt, translate, reverse \r
  59 engineer, decompile, disassemble or otherwise reduce \r
  60 the CD-ROM to human readable form. \r
  61 \r
  62 LIMITED WARRANTY:\r
  63 \r
  64 Hasbro Interactive warrants for a period of ninety (90) \r
  65 days following original retail purchase of this copy of \r
  66 the game that the CD-ROM is free from substantial errors \r
  67 or defects that will materially interfere with the \r
  68 operation of the CD-ROM as described in the Documentation. \r
  69 This limited warranty applies to the initial purchaser \r
  70 only. EXCEPT AS STATED ABOVE, HASBRO INTERACTIVE MAKES \r
  71 NO OTHER WARRANTY OR CONDITION, EXPRESS OR IMPLIED, \r
  72 STATUTORY OR OTHERWISE, REGARDING THIS CD-ROM. THE \r
  73 IMPLIED WARRANTY THAT THE CD-ROM IS FIT FOR A PARTICULAR \r
  74 PURPOSE AND THE IMPLIED WARRANTY OF MERCHANTABILITY \r
  75 SHALL BOTH BE LIMITED TO THE NINETY (90) DAY DURATION \r
  76 OF THIS LIMITED EXPRESS WARRANTY. THESE AND ANY OTHER \r
  77 IMPLIED WARRANTIES OR CONDITIONS, STATUTORY OR OTHERWISE, \r
  78 ARE OTHERWISE EXPRESSLY AND SPECIFICALLY DISCLAIMED. \r
  79 Some jurisdictions do not allow limitations on how long \r
  80 an implied warranty or condition lasts, so the above \r
  81 limitation may not apply to You. This limited warranty \r
  82 gives You specific legal rights, and you may also have \r
  83 other rights which vary from jurisdiction to jurisdiction. \r
  84 \r
  85 If you believe you have found any such error or defect \r
  86 in the CD-ROM during the warranty period, (i) if you are \r
  87 in the United States, call Hasbro Interactive's Consumer \r
  88 Affairs Department at 800-683-5847 between the hours of \r
  89 8:00 a.m. and 12:00 a.m midnight. Monday through Friday \r
  90 (Eastern Time) and 8:00 a.m. to 8:00 p.m. Saturday and \r
  91 Sunday, holidays excluded, and provide your Product \r
  92 number; or (ii) if you are outside the United States, \r
  93 send your original CD-ROM disc to Hasbro Interactive at \r
  94 Caswell Way, Newport, Gwent, NP9 0YH, United Kingdom, \r
  95 together with a dated proof of purchase, your Product \r
  96 number, a brief description of such error or defect and \r
  97 the address to which it is to be returned. If you have \r
  98 a problem resulting from a manufacturing defect in the \r
  99 CD-ROM, Hasbro Interactive's entire liability and Your \r
 100 exclusive remedy for breach of this limited warranty \r
 101 shall be the replacement of the CD-ROM, within a \r
 102 reasonable period of time and without charge, with \r
 103 a corrected version of the CD-ROM. Some jurisdictions \r
 104 do not allow the exclusion or limitation of relief, \r
 105 incidental or consequential damages, so the above \r
 106 limitation or exclusion may not apply to You.\r
 107 \r
 108 HASBRO INTERACTIVE SHALL NOT BE LIABLE FOR SPECIAL, \r
 109 INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR OTHER INDIRECT \r
 110 DAMAGES, EVEN IF HASBRO INTERACTIVE IS ADVISED OF OR \r
 111 AWARE OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT \r
 112 SHALL HASBRO INTERACTIVE'S LIABILITY EXCEED THE PURCHASE \r
 113 PRICE OF THIS PACKAGE. Some jurisdictions do not allow \r
 114 the exclusion or limitation of special, incidental, \r
 115 consequential, indirect or exemplary damages, or the \r
 116 limitation of liability to specified amounts, so the \r
 117 above limitation or exclusion may not apply to You.\r
 118 \r
 119 GENERAL: This Agreement constitutes the entire understanding \r
 120 between Hasbro Interactive and You with respect to subject \r
 121 matter hereof. Any change to this Agreement must be in \r
 122 writing, signed by Hasbro Interactive and You. Terms and \r
 123 conditions as set forth in any purchase order which differ \r
 124 from, conflict with, or are not included in this Agreement, \r
 125 shall not become part of this Agreement unless specifically \r
 126 accepted by Hasbro Interactive in writing. You shall be \r
 127 responsible for and shall pay, and shall reimburse Hasbro \r
 128 Interactive on request if Hasbro Interactive is required \r
 129 to pay, any sales, use, value added (VAT), consumption \r
 130 or other tax (excluding any tax that is based on Hasbro \r
 131 Interactive's net income), assessment, duty, tariff, or \r
 132 other fee or charge of any kind or nature that is levied \r
 133 or imposed by any governmental authority on the Package. \r
 134 \r
 135 EXPORT AND IMPORT COMPLIANCE: In the event You export the \r
 136 CD-ROM or the Documentation from the country in which You \r
 137 first received it, You assume the responsibility for \r
 138 compliance with all applicable export and re-export \r
 139 regulations, as the case may be. \r
 140 \r
 141 GOVERNING LAW; ARBITRATION: This Agreement shall be \r
 142 governed by, and any arbitration hereunder shall apply, \r
 143 the laws of the Commonwealth of Massachusetts, U.S.A., \r
 144 excluding (a) its conflicts of laws principles; (b) the \r
 145 United Nations Convention on Contracts for the International \r
 146 Sale of Goods; (c) the 1974 Convention on the Limitation \r
 147 Period in the International Sale of Goods; and (d) the \r
 148 Protocol amending the 1974 Convention, done at Vienna \r
 149 April 11, 1980. \r
 150 \r
 151 Any dispute, controversy or claim arising out of or \r
 152 relating to this Agreement or to a breach hereof, \r
 153 including its interpretation, performance or termination, \r
 154 shall be finally resolved by arbitration. The arbitration \r
 155 shall be conducted by three (3) arbitrators, one to be \r
 156 appointed by Hasbro Interactive, one to be appointed by \r
 157 You and a third being nominated by the two arbitrators \r
 158 so selected or, if they cannot agree on a third arbitrator, \r
 159 by the President of the American Arbitration Association \r
 160 ("AAA"). The arbitration shall be conducted in English \r
 161 and in accordance with the commercial arbitration rules \r
 162 of the AAA. The arbitration, including the rendering of \r
 163 the award, shall take place in Boston, Massachusetts, \r
 164 and shall be the exclusive forum for resolving such \r
 165 dispute, controversy or claim. The decision of the \r
 166 arbitrators shall be binding upon the parties hereto, \r
 167 and the expense of the arbitration (including without \r
 168 limitation the award of attorneys' fees to the prevailing \r
 169 party) shall be paid as the arbitrators determine. The \r
 170 decision of the arbitrators shall be executory, and \r
 171 judgment thereon may be entered by any court of \r
 172 competent jurisdiction. Notwithstanding anything \r
 173 contained in this Paragraph to the contrary, Hasbro \r
 174 Interactive shall have the right to institute judicial \r
 175 proceedings against You or anyone acting by, through \r
 176 or under You, in order to enforce Hasbro Interactive's \r
 177 rights hereunder through reformation of contract, \r
 178 specific performance, injunction or similar equitable \r
 179 relief.\r
